About the role
As a Contracts Manager within the Legal department, you will keep our Higher Education contracting engine running. You will create and maintain standard templates and routine amendments under counsel guidance, coordinate approvals and signatures, maintain accurate system of record data, publish actionable dashboards, and track post award obligations. You will partner cross functionally with Sales, Asset Management, Finance, and Operations to reduce cycle times, strengthen compliance, and ensure clean handoffs after signature.
Contract Lifecycle Management
- Revise, review, and maintain standard templates (NDAs, order forms, basic SOW/LOAs, routine amendments) and populate commercial/vendor agreement information under counsel guidance.
- Create drafts of standard amendments, renewals, and other modifications to existing contracts with counsel guidance.
- Track redlines and status of negotiations
- Route agreements for review and approval, applying the playbook, clause libraries, and defined fallbacks for standard matters.
- Drive on‑time execution and ensure clean transitions to post‑award owners.
DocuSign Administration
- Own DocuSign templates and approval workflows; enforce signing‑authority controls and maintain complete audit trails.
- Troubleshoot envelopes, manage bulk sends, and partner with IT/InfoSec on configuration hygiene and retention standards.
Systems & Reporting
- Maintain accurate contract metadata and files across mTRAC and Salesforce; ensure consistent linkage between opportunities, agreements, and obligations.
- Build and publish dashboards for cycle time, execution rate, renewals pipeline, and obligation tracking; identify bottlenecks and recommend process fixes.
- Support audits with authoritative, reproducible reports and evidence packages.
Post‑Award Obligations
- Track renewal dates, SLAs, service credits, milestones, and other compliance requirements; manage reminders and escalations.
- Coordinate with Asset Management and Operations for renewal planning and asset‑aligned obligations where applicable.
Training & Enablement
- Continuously improve SOPs, playbooks, and checklists based on execution data
What You'll Bring
Required
- Bachelor's degree in business, Legal Studies, Contract Management, Supply Chain, or related field
- Law degree
- 5+ years of contract administration or paralegal experience in corporate legal, procurement, or sales operations (technology, telecom, or services preferred).
- Hands‑on experience with a CLM/matter‑tracking tool and strong Excel/Google Sheets skills (pivot tables, lookups, data cleansing) to manage metadata and reporting.
- Working knowledge of standard commercial agreement structures (MSAs, SOWs, order forms, NDAs, amendments) and approval governance.
- Meticulous attention to detail for accuracy, version control, redline hygiene, and validation of signature authority.
- Ability to translate legal/operational requirements into checklists, SOPs, and dashboards for non‑legal stakeholders.
- Clear communication and stakeholder management across Sales, Legal, Finance, and Operations.
- Additional Competencies: excellent critical thinking and communication skills
Preferred
- Higher Education or broader state contracting exposure (renewals cadence, public‑sector forms, procurement portals).
- Familiarity with DocuSign and Salesforce (configuration, reporting, and user workflows).
- Awareness of FERPA compliance, privacy laws, data processing contractual requirements, SLAs/service credits, and renewals/evergreen mechanics.
How You'll Succeed
- Cycle time reduction for standard deals; SLA adherence for admin steps (intake → routing → signature → repository).
- Exception rate trending down for playbook items; issues resolved within defined SLAs.
- Data quality: ≥ 98% metadata completeness/accuracy across mTRAC/Salesforce.
- Obligation tracking: on‑time renewal notices; zero missed critical milestones.
- Audit readiness: complete, reproducible trails for approvals/signatures and repository artifacts.
