Our Legal team serves as proactive advisors and business partners, enabling effective legal and operational solutions in support of PowerSchool’s vision. This includes providing advice on company strategies and implementation, supporting complex business transactions, and negotiating critical contracts.

Responsibilities

Description

The Legal Commercial Team is responsible for overseeing the full lifecycle of commercial contracts at PowerSchool. The team drafts, negotiates, and finalizes agreements with customers, vendors, and partners and plays a critical role in mitigating risk, supporting business objectives, and enabling efficient operations.

This Contracts Administrator role will play a key part in the Company’s contracting processes by supporting the attorneys and contract managers on the team to review, draft, and negotiate a broad range of legal and commercial agreements. The role will also support PowerSchool’s initiatives to streamline, standardize and automate through innovations and effective contract management practices and processes across the organization.

Key Responsibilities

Your day-to-day job will consist of:

  • Manage, triage, and respond to various commercial legal requests, escalating issues to the designated Contracts Manager or Attorney Lead.
  • Review, draft and negotiate a wide range of commercial agreements, with a primary focus on procurement and customer agreements.
  • Review and edit sales and renewal quotes.
  • Review and prepare contractual and legal responses to Requests for Proposal (RFPs) and Requests for Information (RFIs).
  • Identify, evaluate, and resolve both routine and complex business issues through collaboration with crossfunctional stakeholders.
  • Support the Legal team by advising internal business partners on commercial, contractual, and riskrelated matters.
  • Perform contract administration duties as needed, including extracting key contract data, maintaining contract templates, and organizing executed agreements and related legal documentation within contract management systems.
  • Perform other duties as assigned by a Contracts Manager, supervising attorney or Chief Legal Officer.

Qualifications

Minimum Qualifications

  • Minimum 5+ years of relevant professional experience in contract drafting, negotiation, and administration, preferably with a privately held company, publicly traded company, and/or top law firm.
  • Bachelor’s degree or equivalent experience; additional experience may be substituted for an advanced degree.
  • Demonstrated ability to independently and confidently draft and negotiate a high volume of commercial agreements of varying complexity, including:
    • Master services and professional services agreements
    • SaaS and software license agreements
    • Statements of work
    • Partnership and distribution agreements
    • Non-Disclosure Agreements
    • Procurementrelated contracts
    • Marketing, sponsorship and events contracts
    • Salesforce quotes
  • Proven ability to manage stakeholder and customer escalations and to resolve issues effectively and pragmatically.
  • Strong analytical skills with the ability to identify material legal and business issues, assess risk, and recommend practical solutions.
  • Excellent written and verbal communication skills, including the ability to clearly summarize complex issues and risks.
  • Strong organizational skills, attention to detail, and the ability to manage multiple priorities and deadlines in a fastpaced environment.
  • Ability to identify basic data privacy and information security issues.
  • Prior experience working in a highvolume, highimpact contracting environment with customers, vendors, partners, and other third parties.

Preferred Qualifications

  • Strong understanding of intellectual property concepts and technology licensing, with experience in the software industry.
  • Working knowledge of data privacy laws and experience negotiating data protection and privacyrelated agreements.
  • Experience negotiating service level agreements (SLAs) and agreements involving artificial intelligence or emerging technologies.
  • Strong technology proficiency, including experience with contract management, CRM, and ticketing tools (e.g., Coupa, Jira, FreshService, Salesforce, CLM platforms, and virtual data rooms).
  • Previous experience working in a legal department.
  • Advanced degree or certification, include contract administration or paralegal certification.
  • Juris doctorate degree is a plus.

A reasonable estimate of the base compensation range for this position is $70,500 - $88,100 USD. This compensation range is specific to the United States and it incorporates many factors including but not limited to an applicant's skills and prior relevant experience and training; licensures, degrees, and certifications; internal equity; internal pay ranges; and market data/range parameters.
